You all are delusional, pi---d off about your jobs rightfully so, but to claim there is a humana -centene merger over a few ex humana employees u despise is ridiculous. Go on complain to SEC, time u could have spent fixing ur resume for jobs. 🙄

In this political environment, do any corporate laws matter?

@e4 That does it; the final straw! I am filling out the SEC Complaint form about this collusion between Centene and Humana!

https://www.sec.gov/submit-tip-or-complaint/tcr-disclaimer

You mean to tell me that I had to lose my job because Humana is pressuring Centene to do so, just so that Humana can buy Centene??!!!

Beyond frustrating!

I guess what I want to know is, who is pulling the strings in this puppet show??? Is it Centene Executive Leadership or is it Humana Executive Leadership???

Cannot serve to masters and if they behind the scenes are working together (i.e., colluding), then one of them has the dominant hand over the other, controlling outcomes.

@be The illegal collision part is inserting leaders from one corporation to another and probably also manipulating stocks and definitely not being transparent with investors if basically two companies are secretly being ran or controlled behind the scenes by one overall arching company.

THAT is the illegal part that the SEC would be interested in, as it wrongly manipulates the stock market, benefiting both company’s executive’s stock shares and bonuses.

I am pretty sure you know that before you posted and are just trying to get folks to “look over here instead!”

THIS isn’t simply about two corporations negotiating a merger deal. Like you said, nothing illegal about that. BUT inserting leaders from one corporation to another competitor corporation and then using those leaders to fire and layoff employees and probably the two CEO’s in close contact in manipulating things, including their respective stock prices, now that is collusion and itis illegal.

What?? Merger negotiations between competitors aren't collusion. They're how every merger happens. Two companies talking about a deal is legal right up until disclosure obligations kick in.

Also, the SEC doesn't enforce antitrust. That's DOJ, and health insurer mergers specifically go to DOJ's Antitrust Division. "Market manipulation" in securities law means manipulating a stock price, not manipulating a healthcare market. Filing that on a TCR sends the wrong theory to the wrong agency.

On the membership drops: both companies pulling back from Marketplace and Part D in 2026 has an obvious shared cause. Enhanced premium tax credits expired January 1. Every major payer repriced or exited. Independent companies reacting the same way to the same policy shock is legal and is not evidence of an agreement.

The staff-cutting theory is also backwards. Sellers don't gut headcount before a close. It wrecks diligence, ki-ls retention of the people the buyer is paying for, and lowers the value of what you're selling. Those cuts always happen after close.

Finally, as was pointed out, there's no way an acquisition or merger would even go through. Centene and Humana have too much overlap in the PDP market. Any merger or acquisition would be blocked on antitrust concerns. That's what happened with Aetna/Humana.

@ag I think so too! I think right now leaders are attempting to bury this further down in hopes it does not get seen nor on anyone’s radar.

@ae No disrespect but I disagree. I think that is, and always has been for the last two years, the plan.

Executives plan things out 2, 3, and sometimes even 5 years out.

I think Humana executives has been colluding with Centene executives for the last 2 years and have been strategically inserting Humana leaders into Centene leadership roles. now, Centene is strategically cutting staff to the bone and probably has been and will again this year reduce membership, to make the buyout or merger easier. I think Humana has been and is reducing employee count and membership count just the same, and for the same reason. I think the buyout is getting close.

Question is, has this collusion been fair to stockholders? Has it been fair to employees? Has it been fair to Medicare members? Has it been fair to Medicaid members?

Humana literally does not have the money to buy Centene. They don’t have the cash. Their debt is capped so can’t use debt either. MAYBE could squeeze by with stock issuance but that majorly dilutes Humana holders since Centene’s market cap is way under Humana’s despite Centene’s higher revenue. Plus, the Aetna-Humana deal was already blocked. A Centene-Humana deal would certainly be blocked even if Humana could come up with the funds and push it through the board. It’s just not going to happen. Not sure where this rumor came from but it just doesn’t make sense.
